Introduction
Welcome to STACK-UP Digital Studio ("STACK-UP", "we", "us", or "our"). These Terms & Conditions govern your access to and use of our website, services, and any agreements entered into between you ("the Client") and STACK-UP.
By engaging our services, making any payment, or signing any project agreement, you acknowledge that you have read, understood, and accepted these Terms & Conditions without modification. If you do not agree, you must not proceed with any service engagement.
These terms apply to all clients — individuals, startups, businesses, and enterprises — regardless of location.
Services Offered
STACK-UP provides premium digital services including but not limited to:
- UI/UX Design — wireframes, prototypes, design systems, and visual interfaces
- Web Development — landing pages, full-stack web applications, e-commerce, and custom websites
- Mobile App Development — iOS, Android, and cross-platform applications
- AI Agents & Automation — custom AI agents, chatbots, workflow automation, and integrations
- ERP / CRM Systems — custom enterprise management software and dashboards
- Video Editing — reels, brand films, advertisements, and cinematic content
- Graphic Design — brand identity, social media assets, and digital creatives
- Meta Ads & SEO — paid campaigns, organic growth strategies, and analytics
The exact scope of any service engagement shall be defined in a separate Project Agreement or Statement of Work (SOW) provided before the project commences.
Project Agreements
Every project engagement between STACK-UP and a Client shall be governed by a Project Agreement which details:
- Scope of work and list of deliverables
- Project timeline and milestone schedule
- Payment structure and amounts
- Number of revision rounds included
- Any specific terms unique to the project
The Project Agreement, once accepted by the Client (verbally, in writing, via email, or by making payment), forms a legally binding contract between both parties.
Payment Policy
All pricing is communicated to the Client before work begins. The following payment structure applies:
- Advance Payment: A non-refundable advance (typically 50%–100% of the total project cost) is required before any work commences. The exact advance amount will be specified in the Project Agreement.
- Milestone Payments: For larger projects, payments may be split across agreed milestones. Each milestone payment is due upon reaching the defined deliverable stage.
- Final Payment: The remaining balance is due upon project completion before final files or access credentials are delivered to the Client.
- Accepted Payment Methods: Bank transfer, UPI, PayPal, Wise, or other methods agreed upon in writing.
- Late Payments: Failure to make payments on time may result in suspension of work, withholding of deliverables, or termination of the project at STACK-UP's sole discretion.
Non-Refundable Payment Policy
This is a critical policy that all Clients must understand and accept before engaging STACK-UP's services.
All Payments Are Strictly Non-Refundable
Once any payment — including advance payments, milestone payments, or full project fees — has been made to STACK-UP, it is final and non-refundable under any circumstances, including but not limited to:
- The Client changes their mind or cancels the project after payment
- The Client is dissatisfied with design direction after approved mockups
- The Client fails to provide required content, materials, or feedback on time
- The Client terminates the agreement for any reason after work has commenced
- Business closure, change in strategy, or budget issues on the Client's side
- Force majeure events, including internet outages, political situations, or natural disasters
This policy exists because upon receiving payment, STACK-UP immediately allocates human resources, creative time, software licenses, and infrastructure to your project. This investment of time and skill cannot be recovered or reassigned.
By making any payment to STACK-UP, the Client expressly acknowledges and agrees to this non-refundable policy.
Revisions & Changes
Each project includes a defined number of revision rounds as specified in the Project Agreement. Revisions are defined as minor adjustments within the agreed scope — not fundamental changes to the direction, concept, or scope of work.
- Revision requests must be submitted in writing (email or WhatsApp) within 7 days of delivery.
- Revisions beyond the agreed number will be charged at an hourly rate communicated in advance.
- Requests to change the project direction, concept, or core scope after work has begun are considered new work and will be quoted separately.
- Approval of a design or deliverable (verbally, in writing, or by silence within 7 days) is considered final acceptance.
Timelines & Delays
STACK-UP is committed to delivering projects within the agreed timelines. However, timely delivery depends on timely cooperation from the Client.
- Project timelines commence only after the advance payment is received and all required materials (content, branding, access credentials, etc.) have been provided by the Client.
- Delays caused by the Client — including late feedback, missing materials, or delayed payments — will result in corresponding timeline extensions without penalty to STACK-UP.
- STACK-UP will communicate any anticipated delays on our end promptly and work to resolve them.
- Timeline extensions due to Client delays do not entitle the Client to any refund or discount.
Intellectual Property
Upon receipt of full and final payment for a project, ownership of the final deliverables is transferred to the Client, unless otherwise agreed in writing.
- STACK-UP retains the right to display the project in our portfolio, case studies, social media, and marketing materials unless the Client requests confidentiality in writing before project commencement.
- All work produced during the project, including drafts, source files, and intermediate versions, remains the property of STACK-UP until full payment is received.
- Third-party assets (stock images, fonts, libraries, plugins) used in projects are subject to their respective licensing terms. STACK-UP is not responsible for Client misuse of licensed assets.
- STACK-UP's proprietary methodologies, processes, templates, and internal tools remain exclusively the property of STACK-UP at all times.
Confidentiality
Both parties agree to keep confidential any sensitive business information, trade secrets, or proprietary data shared during the course of the project.
STACK-UP will not disclose Client business strategies, financial information, or project-specific details to third parties without written consent, except as required by law.
Client Responsibilities
To ensure a successful project, Clients are responsible for:
- Providing all required content, materials, logos, and assets in a timely manner
- Providing clear, actionable, and consolidated feedback within agreed timeframes
- Having appropriate authority to commission the work (e.g., domain ownership, branding rights)
- Ensuring that any content or materials provided do not infringe third-party copyrights or rights
- Making payments on time as agreed in the Project Agreement
- Designating a single point of contact to avoid conflicting instructions
STACK-UP is not liable for project delays, quality issues, or failures resulting from the Client's failure to meet these responsibilities.
Limitation of Liability
To the maximum extent permitted by applicable law, STACK-UP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of business revenue, profits, or market share
- Loss of data or business information
- Business interruption or operational losses
- Reputational damage resulting from the use or inability to use our services
- Actions or inactions of third-party service providers, hosting companies, or platforms
In all cases, STACK-UP's total liability to the Client shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
Third-Party Tools & Services
Projects may involve third-party tools, platforms, APIs, hosting providers, or plugins (e.g., WordPress, Shopify, AWS, Firebase, Stripe, etc.).
- STACK-UP is not responsible for downtime, data loss, price changes, or policy changes made by third-party service providers.
- Costs associated with third-party tools (hosting fees, plugin licenses, API costs, domain registrations) are the Client's responsibility unless explicitly stated otherwise in the Project Agreement.
- STACK-UP will advise on recommended third-party tools but cannot guarantee their long-term availability or performance.
Termination
Either party may terminate a project agreement under the following conditions:
- By the Client: The Client may cancel a project at any time by providing written notice. All payments made prior to cancellation are forfeited per our non-refundable policy. Work completed up to the cancellation date may or may not be delivered at STACK-UP's discretion.
- By STACK-UP: STACK-UP reserves the right to terminate a project immediately and without refund if the Client: provides false information, fails to make payments, behaves in an abusive or unethical manner, requests illegal or unethical deliverables, or fails to cooperate for more than 30 consecutive days.
Dispute Resolution
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising.
If negotiation fails, disputes shall be submitted to arbitration or mediation before any legal proceedings are initiated. STACK-UP values long-term relationships and will always seek a fair, reasonable resolution wherever possible.
Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Uttarakhand, India.
For international Clients, these terms and any disputes arising shall still be governed by Indian law unless otherwise expressly agreed in writing before the project commences.
Changes to These Terms
STACK-UP reserves the right to update or modify these Terms & Conditions at any time without prior notice. The latest version will always be available on our website.
Continued engagement with our services following any update constitutes acceptance of the revised terms. We encourage Clients to review these terms periodically.
The "Effective Date" at the top of this page indicates when these terms were last updated.
